Welcome to EdgeTrace, Inc. ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our services, including our website, software, hardware, and related products (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, please refrain from using our Services.

1. Definitions

1.1 "Agreement" means these Terms and Conditions, the Order Form, and any documents incorporated by reference.

1.2 "Authorized End Users" means individuals employees, agents, or contractors of Customer authorized to access or use the Services under the rights granted to Customer.

1.3 "Customer Data" means all data, media, and content provided by Customer through the Services, including any generated or collected during Service usage.

1.4 "Anonymized Data" means Customer Data permanently and irreversibly stripped of identifying details, rendering individual persons or entities unidentifiable through commercially standard anonymization techniques.

1.5 "Intellectual Property" means all patents, copyrights, trademarks, trade secrets, and other proprietary rights owned by EdgeTrace AI, including but not limited to software, designs, algorithms, and documentation.

1.6 "Services" means the software, hardware, web interfaces, and related technologies provided by EdgeTrace, Inc.

2. Eligibility

You may use our Services only if you:

  • Are at least 18 years old (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Are not prohibited from using our Services under applicable laws

3. User Accounts

To access certain features of the Services, you may need to create an account. You agree to:

  • Provide accurate and up-to-date information during registration
  • Safeguard your account credentials
  • Notify us immediately of unauthorized use
  • Take responsibility for all activities under your account

4. Intellectual Property Rights

4.1 Ownership

  • All Intellectual Property remains the exclusive property of EdgeTrace, Inc
  • Customers receive a limited, non-exclusive license to use Services
  • No implied rights are granted beyond those explicitly stated in this Agreement

4.2 Restrictions Customers and Authorized End Users shall not:

  • Modify, alter, or create derivative works of our Services
  • Remove or obscure any proprietary rights notices
  • Use Services for purposes outside their intended use
  • Assign, sublicense, sell, or transfer Service rights

4.3 Customer Data and Generated Content

  • Customers retain ownership of their data and generated content
  • EdgeTrace, Inc. receives a limited, non-exclusive license to use such data for Service provision
  • We do not sell or transfer customer data to third parties

4.4 Anonymized Data

  • EdgeTrace, Inc. may anonymize and analyze Customer Data
  • We receive a perpetual, royalty-free right to use Anonymized Data
  • Anonymized Data may be used to improve Services and develop machine learning algorithms

5. Data Use And Privacy

5.1 Data Collection and Use

  • We collect and process data in accordance with our Privacy Policy
  • Customers grant us permission to process data necessary for Service delivery
  • We implement industry-standard security measures to protect data

5.2 Data Distribution

  • Customers may request data integration with third-party services
  • We require explicit customer consent for any data distribution
  • Customers remain responsible for third-party data handling

6. Limitations Of Liability

6.1 Scope of Liability EdgeTrace, Inc, shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, business interruption, or profit
  • Data inaccuracies or incompleteness
  • Costs of substitute goods or services

6.2 Maximum Liability Our total liability is limited to:

  • The amount paid for Services in the 12 months preceding a claim
  • Exclusions apply for gross negligence or willful misconduct

6.3 Force Majeure We are not liable for delays or failures caused by:

  • Natural disasters
  • Acts of war or terrorism
  • Pandemics
  • Government actions
  • System failures beyond our reasonable control

7. Indemnification

7.1 Customer Indemnification Customers agree to defend and hold harmless EdgeTrace, Inc. from claims arising from:

  • Misuse of Services
  • Violation of these Terms
  • Infringement of third-party rights

7.2 Our Indemnification We will indemnify customers against third-party claims of:

  • Intellectual property infringement
  • Direct damages caused by our Services

8. Termination

8.1 Term and Renewal

  • Initial service term as specified in the Order Form
  • Automatic renewal unless 30 days' notice is provided
  • Termination possible for material breach with 30-day cure period

8.2 Post-Termination

  • Data access and retrieval terms
  • Survival of critical provisions
  • Return or destruction of Proprietary Information

9. Miscellaneous

9.1 Governing Law

  • Governed by laws of the State of California
  • Disputes resolved through arbitration in California

9.2 Modifications

  • We may update Terms periodically
  • Continued use constitutes acceptance of updated Terms
